Bazil Oglinda a vorbit despre salvgardarea contractului in contextul noului Cod Civil si a propus o serie de abordari edificatoare pentru spetele complexe.

Bazil Oglinda spoke about the provisions for contract safeguarding, according the new Civil Code, and presented several approaches for addressing complex cases in this area. Prevederile noului Cod Civil, si implicit cele privind salvgardarea contractului, tin seama de cele mai moderne reglementari in materie: Principiile UNIDROIT, Principiile Europene ale contractelor, Draft common frame of refference si, nu in ultimul rând, reglementarile din Codul civil italian sau ale Codului Civil Quebec.
Prezentarea a avut loc in cadrul conferintei organizata de Juridice.ro pentru a aborda “Problemele dificile de drept civil”.“Sanctiunea contractuala – nulitatea, rezolutiunea, rezilierea, etc – nu este un scop in sine”, explica Bazil Oglinda. “Ori de câte ori exista premisele salvării contractului, avocatul trebuie sa faca tot ce este posibil pentru asta. Mai mult, fiecare speta trebuie tratată prin prisma particularitatiilor ei, remediile contractuale trebuie aplicate gradual (ori de câte ori acest lucru este posibil) si nu direct cele mai dure sancțiuni contractuale. Nu in ultimul rand, avocatul, ca si alti actori importanti ai justitiei, are posibilitatea sa tina seama de principii fundamentale de drept ca principiul bunei-credinte, cooperarea (solidarismul) contractual si “Nemo propriam turpitudinem allegans”. The presentation was made at the conference organized by Juridice.ro, in order to address “Difficult issues in civil law”. The provisions of the new Civil Code (regarding contract safeguarding), take into account the latest international regulation in the field: the UNIDROIT Principles, European contract Principles, the Draft common frame of reference, as well as the Italian Civil Code and the Quebec Civil Code.
”The contractual penalty – nullity, cancellation, termination etc. – is not a goal in itself”, explains Bazil Oglinda. “Whenever safeguarding seems possible, lawyers as well as the other stakeholders should go for it. Moreover, each case must be approached individually, as one of a kind, and contractual remedies should only be applied gradually (whenever possible), thus avoiding tough contractual penalties at the onset. ” Last but not least, the lawyer should take into account the fundamental law principles, such as the principle of good faith, contractual cooperation, as well as “Nemo propriam turpitudinem allegans”.
